1. CORE COMMERCIAL TERMS

1.1 Acceptance of Quote

All Quotes issued by EasyQuat Roof Treatment Services are valid for thirty (30) days from the date of issue unless otherwise stated.

A Quote is deemed accepted when the Customer, property owner, or authorised representative accepts the Quote in writing (including email, text message, or electronic acceptance), provides verbal acceptance in person or by telephone, requests commencement of the Services, or permits EasyQuat Roof Treatment Services to commence the Services.

Acceptance of a Quote constitutes acceptance of these Terms and Conditions, which form part of the contract between the parties and prevail over any quotation, invoice, correspondence, or verbal statement to the extent of any inconsistency.

The Customer acknowledges that acceptance may be recorded and relied upon by EasyQuat Roof Treatment Services.

The person accepting the Quote warrants that they have the authority to engage EasyQuat Roof Treatment Services and to bind the person, company, organisation, trust, agency, body corporate, property manager, or other entity on whose behalf they are acting.

Where a person engages EasyQuat Roof Treatment Services on behalf of another person or entity, that person warrants that they have authority to do so and shall remain jointly and severally liable for payment unless otherwise agreed in writing.

The Customer may request changes to the Services at any time.

Any variation to the original scope of work, pricing, or service requirements must be agreed between EasyQuat Roof Treatment Services and the Customer before the additional or varied work is undertaken. Such agreement may be made verbally, electronically, or in writing.

In the event of any inconsistency between a Quote, invoice, correspondence, or any other document, these Terms and Conditions shall prevail.

1.2 Scope of Work

The Services are limited to the work described in the Quote.

Where a physical site inspection has not been carried out before issuing a Quote, the Quote is based on information supplied by the Customer, including descriptions, photographs, and measurements.

The operator may inspect the site before commencing work to confirm conditions.

Where actual site conditions differ from those provided, EasyQuat Roof Treatment Services may adjust the scope of work, pricing, method, or timing.

Additional work requested by the Customer during the Services shall be treated as a variation and may be charged at EasyQuat Roof Treatment Services' standard rates or as otherwise agreed between the parties.

The Customer will be notified before changes are made where reasonably practicable, and approval will be sought prior to continuation where the variation materially affects price or scope.

If the Customer cannot be contacted within a reasonable timeframe, reasonable operational decisions may be made to complete the Services safely and efficiently, provided these do not materially increase the quoted price without approval.

Any work not included in the Quote will be treated as additional work and charged separately.

1.3 Payment Terms

Invoices are issued upon completion of the Services unless otherwise agreed in writing.

Payment is due within twenty-four (24) hours of invoice issue unless otherwise agreed in writing.

Payment applies regardless of whether the Customer is present at the time of completion.

Invoices may be issued electronically to the contact details provided by the Customer.

Full payment is required unless otherwise agreed in writing. Partial payments do not settle the account unless agreed in writing.

Payment may be made by bank transfer, credit card, cash, or any approved method.

Payment is only considered received once cleared funds are in the nominated account or cash is physically received.

A deposit may be required before work begins at the discretion of EasyQuat Roof Treatment Services.

EasyQuat Roof Treatment Services may suspend or withhold further services, warranties, or ongoing work while any invoice remains unpaid.

Any warranty, guarantee, or obligation to provide remedial work is suspended while any amount remains overdue.

1.4 Late Payment

An invoice not paid by the due date is overdue.

If unpaid after three (3) days, EasyQuat Roof Treatment Services may initiate recovery steps, suspend services, and/or decline future bookings.

If unpaid after seven (7) days, the account is considered outstanding.

If unpaid between fourteen (14) and thirty (30) days, the account may be referred to a debt recovery agency, solicitor, or enforcement process without further notice where appropriate.

Recovery action may continue regardless of prior reminders.

The Customer is liable for all reasonable costs incurred in recovery, including legal fees, collection agency costs, court fees, enforcement costs, tracing costs, and administrative recovery costs, to the fullest extent permitted by law.

These costs may be added to the outstanding balance and are payable on demand, including where such costs exceed the outstanding principal debt.

The Customer's obligation to pay for the Services is not affected by the existence of any complaint, dispute, claim, warranty request, or allegation unless otherwise required by law.

1.5 No Set-Off

The Customer must not withhold, deduct, set-off, or reduce any payment due under this agreement for any reason unless required by law.

1.6 Cancellation

The Customer may cancel before work begins.

Deposits may be retained to cover reasonable costs including administration, scheduling, materials, and lost opportunity.

If work has commenced, the Customer must pay for all work completed, time spent, materials used, and costs incurred up to cancellation.

Where possible, 24 hours’ notice of cancellation or rescheduling should be provided.

EasyQuat Roof Treatment Services may postpone, reschedule, cancel, or stop work where conditions are unsafe, impractical, unlawful, or outside reasonable control.

Services may also be terminated where continuing would create risk to people or property.

Where Services are postponed or cancelled due to weather or safety conditions, reasonable rescheduling will be arranged without penalty to either party.

1.7 Debt Recovery and Enforcement Costs

If payment is not received by the due date, reasonable steps may be taken to recover the debt.

The Customer is liable for all reasonable costs incurred in recovery, including legal fees, collection agency costs, court fees, enforcement costs, tracing costs, and administrative recovery costs.

These costs may be added to the outstanding balance and are payable on demand to the fullest extent permitted by law.

The Customer agrees to pay all reasonable costs incurred in recovery, including where such costs exceed the outstanding principal debt.

2. OPERATIONAL & SAFETY TERMS

2.1 Site Access

The Customer must provide EasyQuat Roof Treatment Services, its employees, contractors, and authorised representatives with safe and reasonable access to the Property and all areas required to perform the Services.

The Customer is not required to be present while the Services are performed unless otherwise agreed.

The Customer must ensure that access points, driveways, gates, and work areas are available and unobstructed on the scheduled service date.

Where access is unavailable or restricted, EasyQuat Roof Treatment Services may postpone or reschedule the Services.

The Customer must provide access to a suitable water supply for the duration of the Services.

Where mains water is unavailable, any alternative water source must provide adequate pressure and volume to safely operate equipment.

EasyQuat Roof Treatment Services shall not be responsible for delays, equipment downtime, inability to perform the Services, additional costs, or damage resulting from an inadequate water supply.

EasyQuat Roof Treatment Services reserves the right, in its sole discretion, to determine whether any area of the Property can be safely accessed and worked on.

2.2 Health and Safety

EasyQuat Roof Treatment Services will comply with its obligations under applicable health and safety legislation.

Prior to commencement of the Services, the Customer must disclose any known hazards that may affect the safety of persons or property.

EasyQuat Roof Treatment Services may refuse to commence or continue work until identified hazards are adequately controlled or removed.

EasyQuat Roof Treatment Services may suspend, postpone, or cease the Services immediately where, in its reasonable opinion, site conditions are unsafe or where continuing the Services may create a risk to any person or property.

Where work is suspended or ceased due to safety concerns, the Customer remains liable for payment of all Services performed up to the time work ceased.

2.3 Customer Responsibilities

Prior to commencement of the Services, the Customer is responsible for:

(a) securing all pets and animals;

(b) removing or relocating vehicles from all work areas;

(c) removing, protecting, or securing all fragile, valuable, or sensitive items that may be affected by the Services;

(d) identifying and notifying EasyQuat Roof Treatment Services of any areas, surfaces, or property requiring special protection; and

(e) providing accurate and complete information regarding site conditions, access limitations, and known hazards.

The Customer indemnifies EasyQuat Roof Treatment Services against any loss, damage, cost, or claim arising from failure to comply with this clause, except to the extent caused by our negligence.

2.3.1 Site Safety, Exclusion Zones & Third Party Access

The Customer acknowledges that the Services may involve the use of chemicals, high-pressure equipment, ladders, elevated work platforms, and other machinery, and may involve working at height.

For health and safety reasons, the Customer must ensure that a clear and effective exclusion zone is maintained around all areas where the Services are being carried out at all times.

During the performance of the Services, the Customer must ensure that:

(a) all occupants, including children, visitors, and any third parties, remain at a safe distance from active work areas;

(b) all pets and animals are secured and prevented from entering work zones;

(c) no person enters, interferes with, or obstructs ladders, roof areas, equipment, or operational machinery; and

(d) all work areas remain clear and unobstructed for the duration of the Services.

EasyQuat Roof Treatment Services may suspend, delay, or cease work immediately, at its sole discretion, if any person or animal enters a work area or if site safety cannot be reasonably maintained.

EasyQuat Roof Treatment Services shall not be liable for any injury, loss, damage, or claim arising from the Customer’s failure to maintain a safe exclusion zone or control access to the worksite during the provision of the Services, except to the extent caused by our negligence.

2.4 Weather Conditions

The Services are dependent on suitable weather conditions.

EasyQuat Roof Treatment Services may postpone, suspend, or reschedule the Services where weather conditions may affect safety, service quality, treatment effectiveness, or equipment operation.

The suitability of weather conditions shall be determined solely by EasyQuat Roof Treatment Services.

Any postponement or rescheduling resulting from weather conditions shall not constitute a breach of contract.

2.5 Photographs and Records

EasyQuat Roof Treatment Services may take photographs, videos, and other records of the Property before, during, and after the Services.

Such records may be used for operational purposes, quality assurance, training, insurance, health and safety compliance, debt recovery, dispute resolution, warranty administration, and business record keeping.

The Customer grants EasyQuat Roof Treatment Services a royalty-free licence to use photographs of completed Services and Property for promotional, portfolio, advertising, and marketing purposes, unless the Customer requests in writing prior to commencement that such use is excluded.

No identifiable individuals will be intentionally featured without consent.

EasyQuat Roof Treatment Services will take reasonable steps to avoid disclosure of personal or identifying information.

2.6 Existing Defects and Hidden Conditions

EasyQuat Roof Treatment Services is not responsible for any pre-existing defects, deterioration, wear and tear, corrosion, structural weaknesses, leaks, or latent conditions existing prior to commencement of the Services.

The Services may reveal defects not previously visible or reasonably discoverable. EasyQuat Roof Treatment Services is not liable for the discovery, worsening, or manifestation of such defects where reasonable care has been exercised.

If unexpected or unsafe conditions are discovered, work may be suspended pending consultation with the Customer.

2.7 Neighbouring Property

The Customer must notify EasyQuat Roof Treatment Services of any neighbouring property or assets requiring special protection.

Reasonable care will be taken to minimise overspray, runoff, or debris.

EasyQuat Roof Treatment Services is not liable for damage arising from circumstances beyond reasonable control.

2.8 Use of Chemicals

EasyQuat Roof Treatment Services may use cleaning agents, roof treatment products, detergents, surfactants, biocides, quaternary ammonium compounds, and other chemicals reasonably required to perform the Services.

The Customer acknowledges that the application of such products may result in temporary odours, residue, runoff, discolouration, streaking, or other cosmetic or environmental effects, and may require reasonable drying, weathering, or rinsing periods following application.

EasyQuat Roof Treatment Services will use products in accordance with manufacturer instructions and industry practice and will take reasonable care to minimise unintended effects on surrounding property, vegetation, and surfaces.

To the fullest extent permitted by law, EasyQuat Roof Treatment Services shall not be liable for any loss, damage, or deterioration arising from the application or presence of chemicals used in the provision of the Services where such chemicals are used in accordance with manufacturer instructions and industry practice.

The Customer must, prior to commencement of the Services, notify EasyQuat Roof Treatment Services of any sensitive surfaces or conditions, including but not limited to water collection or storage systems, fish ponds, aquariums, livestock, pets, vegetation, painted or delicate surfaces, or other items requiring special protection.

EasyQuat Roof Treatment Services shall not be liable for any loss, damage, or adverse effect arising from the Customer’s failure to disclose such matters before commencement of the Services.

The Customer is responsible for isolating, disconnecting, or otherwise managing any rainwater collection or water storage systems where required prior to commencement of the Services. EasyQuat Roof Treatment Services may provide general guidance but accepts no responsibility for the operation, contamination, or management of such systems unless expressly agreed in writing.

EasyQuat Roof Treatment Services is not liable for any pre-existing roof or surface conditions, including deterioration, staining, fragility, or material failure that becomes apparent during or after treatment.

3. RISK & PROPERTY CONDITION TERMS

3.1 Existing Defects and Property Condition

The Customer acknowledges that the Property may contain existing defects, deterioration, or structural weaknesses.

The Customer accepts that such conditions may become more apparent following cleaning or treatment.

EasyQuat Roof Treatment Services is not responsible for identifying latent defects unless expressly agreed in writing.

3.2 Roof Treatments and Cleaning Results

Results may vary depending on material condition, age, and environmental exposure.

The Customer acknowledges that:

  • staining and biological growth may not be fully removable in a single application;

  • some effects require time and weather exposure to become apparent;

  • cosmetic results are not guaranteed unless expressly stated.

Any guarantee offered by EasyQuat Roof Treatment Services is governed solely by the terms of the applicable guarantee clause contained in these Terms and Conditions.

3.2.1 Notification of Claims

The Customer must notify EasyQuat Roof Treatment Services of any alleged defect, damage, concern, or claim relating to the Services within a reasonable time after becoming aware of the matter and, where reasonably practicable, before any remedial work is undertaken by another party.

3.2.2 Roof Treatment Expectations

Roof treatment Services are designed to kill moss, mould, lichen, algae, and other biological growth.

Results are gradual and may take weeks or months to become visible depending on weather conditions, roof type, severity of growth, shading, moisture levels, and other environmental factors.

The death of biological growth may occur before visible removal. Staining, discolouration, residue, ghosting, or surface marks may remain after treatment.

EasyQuat Roof Treatment Services does not guarantee immediate cosmetic improvement unless expressly stated otherwise.

3.2.3 Customer Inspection

The Customer should inspect the completed Services within a reasonable time after completion and notify EasyQuat Roof Treatment Services of any concerns as soon as reasonably practicable.

EasyQuat Roof Treatment Services shall be given a reasonable opportunity to inspect and, where appropriate, rectify any issue before the Customer engages a third party to perform remedial work.

3.2.4 12-Month Roof Treatment Guarantee

EasyQuat Roof Treatment Services provides a 12-month Roof Treatment Guarantee for eligible roof treatment services using quaternary ammonium-based treatment products or substantially equivalent treatment products selected by EasyQuat Roof Treatment Services.

Where treated areas exhibit significant regrowth of moss, mould, algae, or lichen within twelve (12) months of the treatment date, EasyQuat Roof Treatment Services may, at its discretion, inspect the affected areas and provide a supplementary treatment at no additional charge.

The Customer acknowledges that treatment performance is influenced by environmental conditions including shade, moisture, roof design, vegetation, drainage, weather exposure, and surface type. Some roofs and surfaces may require periodic maintenance treatments to maintain optimal results.

This guarantee does not apply to:

  • areas not included in the original scope of work;

  • structural defects, leaks, drainage issues, or water retention problems;

  • pre-existing staining, discolouration, deterioration, or material failure;

  • roofs or surfaces altered, repaired, coated, cleaned, or treated by others after completion of the Services;

  • conditions resulting from factors beyond the reasonable control of EasyQuat Roof Treatment Services.

The sole remedy under this guarantee is inspection and, where deemed appropriate by EasyQuat Roof Treatment Services, re-treatment of the affected areas. No refund, compensation, or consequential loss is covered by this guarantee.

3.3 Pressure Washing Risks

Where pressure washing is used, the Customer acknowledges inherent risks including water ingress, surface damage, and dislodgement of materials.

EasyQuat Roof Treatment Services will exercise reasonable care and skill but accepts no liability for damage arising from pre-existing conditions not reasonably visible prior to commencement.

3.4 Limitation of Liability

To the maximum extent permitted by law, EasyQuat Roof Treatment Services is not liable for:

  • damage caused by pre-existing defects or structural weakness;

  • indirect, consequential, or economic loss;

  • loss arising from weather events after completion of work;

  • failure of surfaces or coatings not supplied by us.

Liability is limited, at our discretion, to re-performance of the Services or the value of the portion of Services giving rise to the claim.

Liability is reduced to the extent the Customer contributed to the loss or damage.

To the fullest extent permitted by law, EasyQuat Roof Treatment Services' liability arising out of or in connection with the Services shall be limited to the amount paid by the Customer for the Services giving rise to the claim.

Nothing in this clause limits any rights that cannot lawfully be excluded under applicable legislation.

3.5 Consumer Rights

Nothing in these Terms excludes, restricts, or modifies rights under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 where applicable.

Where Services are acquired for business purposes, the Consumer Guarantees Act 1993 is excluded to the fullest extent permitted by law.

3.6 Insurance

The existence of any insurance held by EasyQuat Roof Treatment Services does not increase or extend any liability that would not otherwise exist under these Terms and Conditions or at law.

3.7 Duty to Mitigate Loss

The Customer must take reasonable steps to minimise or prevent any loss, damage, or deterioration after becoming aware of a problem. EasyQuat Roof Treatment Services shall not be liable for any loss that could reasonably have been avoided through timely action by the Customer.

4. General Provisions

4.1 Amendments

EasyQuat Roof Treatment Services may amend these Terms and Conditions from time to time.

4.2 Force Majeure

EasyQuat Roof Treatment Services shall not be liable for any delay, postponement, suspension, or failure to perform the Services where such delay, suspension, or failure arises from circumstances beyond its reasonable control.

4.3 Severability

If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

4.4 Waiver

Any failure or delay by EasyQuat Roof Treatment Services to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other right.

4.5 Entire Agreement

These Terms and Conditions, together with the accepted Quote, constitute the entire agreement between the parties and supersede all prior discussions, representations, negotiations, and understandings relating to the Services.

4.6 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of New Zealand.
